Overview
Jefferies’ Diversified Industrials team is seeking an experienced Vice President to support and lead execution of complex, large‑cap corporate M&A transactions. The group advises a broad range of industrial clients—including multi‑national manufacturers, industrial technology companies, capital equipment providers, automotive and transportation players, building products, and broader industrial conglomerates. The ideal candidate brings strong strategic M&A expertise, proven execution skills, and the ability to manage processes, clients, and junior bankers in a fast‑paced environment.
Key Responsibilities
M&A Transaction Execution
- Lead day‑to‑day execution of large‑cap corporate M&A transactions, including buy‑side, sell‑side, cross‑border, divestitures, carve‑outs, and joint ventures.
- Oversee due diligence, process management, and coordination of internal and external advisors (legal, accounting, consultants, lenders).
- Drive creation of key workstreams: valuation analyses, synergy assessments, operating models, process materials, management presentations, and board materials.
- Develop and present strategic alternatives and M&A recommendations to senior leadership teams and boards.
Client & Relationship Management
- Act as a primary point of contact for corporate clients, providing strategic advice, industry insights, and process guidance throughout engagements.
- Build and strengthen senior-level relationships with CFOs, strategy teams, corporate development officers, and private equity sponsors investing in industrials.
- Support senior bankers in origination efforts, including pitch development and idea generation.
Financial Modeling & Valuation
- Oversee complex valuation work, including DCF, LBO, accretion/dilution, merger models, sum‑of‑parts, scenario analyses, and sensitivity modeling.
- Review and elevate junior models; ensure analytical accuracy and strategic relevance.
- Identify key value drivers, operating metrics, and industry‑specific considerations for diversified industrial businesses.
Industry & Sector Expertise
- Maintain deep understanding of the Industrials landscape, including macro themes, sector‑specific trends, supply chain dynamics, margin structures, and capital equipment cycles.
- Generate actionable M&A ideas rooted in sector dynamics (portfolio optimization, corporate carve‑outs, consolidation opportunities, and transformational M&A themes).
Leadership & Team Management
- Manage and mentor associates and analysts, providing guidance on modeling, materials, and career development.
- Ensure high‑quality work product across all deliverables and tight coordination within deal teams.
- Foster a collaborative culture with colleagues across coverage, product groups, international offices, and senior leadership.
Qualifications
- 5-8 years of investment banking experience, with significant exposure to M&A execution; direct Industrials industry experience preferred but not required
- Excellent technical skills: financial modeling, accounting, valuation, and strategic analysis.
- Strong project management capability and ability to manage complex workstreams across multiple stakeholders.
- Exceptional communication skills—comfortable presenting to senior executives and boards.
- Demonstrated ability to mentor junior bankers and lead deal teams effectively.
- Highly organized, detail‑oriented, and able to thrive in a high‑pressure, transaction‑driven environment.
- Bachelor’s degree required; MBA or other advanced degree a plus but not required.
